Terms of Service

Effective Date: April 30, 2026

1. Agreement to Terms

By accessing or using SOLVY Ecosystem™ services, including the SOLVY Card™, website, and mobile applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and SA Nathan LLC ("SOLVY," "we," "us," or "our").

2. Description of Services

SOLVY provides cooperative financial services, including:

• Debit card issuance and management (via Unit.co and Thread Bank)
• Deposit accounts and transaction processing
• Peer-to-peer payments
• Member patronage dividends (70/20/10 model)
• Receipt tracking and expense management

Banking services are provided by Thread Bank, Member FDIC, through our partnership with Unit.co. SOLVY is not a bank.

3. Eligibility

To use the Services, you must:

• Be at least 18 years of age
• Be a U.S. resident with a valid Social Security number
• Provide accurate, complete, and current information
• Pass identity verification (KYC) requirements
• Not be on any sanctions list or prohibited from banking services

4. Account Registration

When you create an account, you agree to:

• Provide truthful and accurate personal information
• Maintain the security of your account credentials
• Notify us immediately of unauthorized access
• Accept that membership constitutes cooperative ownership

5. Cooperative Membership

SOLVY operates as a cooperative. By using the Services:

• You become a member-owner of the SOLVY Ecosystem
• You are entitled to patronage dividends based on card usage (70% of interchange revenue)
• You participate in community development (20% of revenue)
• You agree to the cooperative principles outlined in our Constitutional Framework

6. Prohibited Activities

You agree not to:

• Use the Services for illegal purposes
• Engage in fraud, money laundering, or terrorist financing
• Attempt to circumvent security measures
• Use another person's identity or account
• Reverse engineer or disrupt the Services
• Transmit malware or harmful code

7. Fees

Current fee schedule:

• Monthly account fee: $0
• Card replacement: $5.00
• Expedited shipping: $15.00
• Out-of-network ATM: $2.50 + ATM operator fee
• International transaction: 1% of transaction amount

Fees are subject to change with 30 days notice.

8. Limitation of Liability

To the maximum extent permitted by law, SA Nathan LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding the amount you paid to use the Services in the 12 months preceding the claim

This does not limit liability for fraud, gross negligence, or willful misconduct.

9. Dispute Resolution

Any dispute arising from these Terms shall be resolved through:

• Informal resolution: Contact support@ebl.beauty first
• Mediation: If informal resolution fails, binding mediation in Texas
• Arbitration: Final resolution through AAA arbitration in Texas

You waive the right to participate in class action lawsuits.

10. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraud, or if required by law. You may close your account at any time by contacting support. Upon termination, your obligations under these Terms survive.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Services. Continued use after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
